Infineon Annual General Meeting approves stable dividend of €0.35 per share; next Annual General Meeting planned as in-person event

Munich – 20 February 2025 – Infineon Technologies AG has finished its 25th Annual General Meeting as a virtual event.

Dividend of €0.35 per share

The Annual General Meeting followed the recommendations of the Management Board and the Supervisory Board regarding distribution of profits and approved a dividend payment of €0.35 per share. The payout per share is stable compared to the previous year.

New addition to the Supervisory Board, four positions confirmed

The employee representative positions on the Supervisory Board ended as of the conclusion of the 2025 Annual General Meeting. Delegates of the Infineon employees already elected the new employee representatives in December. Jürgen Scholz, representative of the IG Metall union in the Supervisory Board, did not run for re-election and was succeeded by Rico Irmischer. On the shareholder side the Annual General Meeting confirmed the positions of Xiaoqun Clever-Steg, Dr. Friedrich Eichiner, Dr. Ulrich Spiesshofer and Margret Suckale for an additional four years.

Management Board compensation system modified

The Annual General Meeting approved the structural modifications to the Management Board compensation system which the Supervisory Board decided on in November 2024. In particular the integration of Infineon's business model objective, the Target Operating Model (TOM), in long-term variable compensation is intended to facilitate an even closer link between Management Board compensation and corporate strategy. Furthermore, in the future Management Board members will receive a part of the short-term variable compensation in the form of shares.

Next Annual General Meeting in 2026 planned as an in-person event

The Management Board plans to conduct the Annual General Meeting in 2026 once again as an in-person event. Nevertheless, the Annual General Meeting has already renewed permission for a virtual Annual General Meeting for two years, so that even if an in-person event should not be possible in a legally secure form in 2026 (for example because of a pandemic situation), it will still be possible to hold the Annual General Meeting.
