Equity Based Compensation

1. Performance Share Plan (PSP)

Under the PSP Infineon can issue virtual shares in annual tranches.

All granted Performance Shares have to meet Performance Targets, measured at the end of the Performance Period.

After a 4 year Waiting Period the Performance Shares will be converted into own shares, or shares whose issuance has been authorized by shareholders to this effect.

2. Restricted Stock Unit Plan (RSUP)

In addition to the PSP, the RSUP was introduced to take account of local market requirements in particular.

Under the RSUP Infineon can issue virtual shares in annual tranches.

Over a waiting period of 4 years, 25% of the RSUs vest in every year and will be converted into own shares, or shares whose issuance has been authorized by shareholders to this effect.
